Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 30, 2023, Michael J. Sherin III, Executive Vice President and Chief Accounting Officer of AMC Networks Inc. (the “Company”), resigned from the Company, effective as of July 4, 2023, to take a senior position at another company. Mr. Sherin’s resignation was not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating to the operations, policies or practices of the Company. Upon Mr. Sherin’s departure and until such time as a replacement is named, Patrick O’Connell, Executive Vice President and Chief Financial Officer, will assume his responsibilities.
